Ownership Retained:

Example:

In 2010, the UK communications firm Cable & Wireless underwent a demerger, resulting in the formation of two distinct companies: Cable & Wireless Worldwide plc and Cable & Wireless Communications plc. Both new companies were still owned by the organization but managed independently. (Note: Since then, both companies have been acquired by other entities.)

De-merger Process

Division of Conglomerate:

A de-merger involves splitting a conglomerate into individual companies, with each subsidiary becoming a new company in its own right.

Shareholder Allocation:

Shareholders of the original company are typically given shares in the newly formed companies based on their holdings in the original entity.

Example:

A multinational conglomerate involved in diverse industries such as pharmaceuticals, consumer goods, and energy decides to undergo a demerger. As a result, its pharmaceutical division becomes a separate pharmaceutical company, its consumer goods division forms a new consumer goods company, and so on. Shareholders of the conglomerate receive shares in each of these new companies based on their ownership in the original conglomerate.
